Terms of service

The contract between you and ZClips: what you may upload, what we do with it, how payment and cancellation work, and the limits of liability.

1. About ZClips

ZClips (zclips.me) is an AI-powered short-form video platform operated as a commercial service. By accessing or using ZClips (the "Service") you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms are a binding agreement between you and ZELIKA DESARROLLOS AUDIOVISUALES, S.L., a Spanish limited company (sociedad de responsabilidad limitada) with NIF B16684763 and registered address at Calle Molino de Viento, 61, 35004 Las Palmas de Gran Canaria, España, which provides this Service under the commercial name "ZClips". In these Terms, "we", "us" and "our" mean that company.

YouTube API Services. ZClips uses YouTube API Services. By using ZClips you also agree to be bound by the YouTube Terms of Service, available at https://www.youtube.com/t/terms. Google's handling of the data it receives is governed by the Google Privacy Policy at https://www.google.com/policies/privacy. Section 7 below and our Privacy Policy describe which YouTube data ZClips stores, how to delete it, and how to revoke our access.

2. What ZClips does

ZClips is an end-to-end short-form video creation platform. The Service can:

  • ingest a long-form video you provide by URL (YouTube, Twitch, Kick, Facebook/Meta) or by direct file upload;
  • transcribe the audio with AI speech-to-text;
  • use a large language model to score and select the most engaging segments;
  • render vertical 9:16 clips with face-tracking crop, transitions, animated captions and optional stock B-roll;
  • provide a timeline editor (paid plans) to trim, split, merge, restyle captions and export clips;
  • optionally monitor connected YouTube channels for new uploads and automatically generate clips ("auto-clip", paid plans);
  • if you opt in, use reference photos you upload, or a monitored channel's own past thumbnails/titles, as style references for AI-generated covers and titles for that channel;
  • accept recordings sent through our OBS/recording connector or as linked VODs, subject to the storage retention and quota of your plan;
  • let you build a personal or workspace music library (uploads and licensed trend tracks) to mix into your clips;
  • optionally publish clips directly to your linked TikTok, YouTube, Facebook/Meta, Twitch or Kick accounts via their respective APIs (paid plans);
  • generate temporary public share links for individual clips or recordings that can be previewed without an account;
  • display an analytics dashboard with performance metrics imported from destination platforms for clips you have published;
  • host an in-app feedback/community forum, including via our optional Discord bot.

Features that depend on third-party APIs (transcription, LLM inference, stock B-roll, source download, billing, destination publishing) operate only when the corresponding keys and accounts are configured.

3. Eligibility and account

You must be at least 16 years old (or the minimum age required to enter into a binding agreement under the laws of your country, whichever is higher). By registering you confirm you meet this requirement. You are responsible for: (a) keeping your account credentials confidential; (b) the accuracy of the information you provide; and (c) all activity occurring under your account. Notify us immediately of any unauthorized use at legal@zclips.me.

Accounts are authenticated via email/password or OAuth (Google, Discord, and other providers if configured). You may not create accounts for others without their consent, or operate accounts in an automated or bot-driven manner, or share accounts between users.

4. Acceptable use

You agree not to use ZClips to:

  • process, generate or publish content for which you do not hold the necessary rights or permissions, including copyrighted source video;
  • create or distribute content that is unlawful, infringing, defamatory, deceptive, sexually exploitative, harassing, discriminatory, hateful, or that violates the policies of any destination platform (including TikTok's Community Guidelines, YouTube's Terms of Service, Facebook/Meta's Community Standards, and the terms of Twitch or Kick);
  • impersonate any person or entity, or misrepresent the source, authorship or provenance of content;
  • generate fake, manipulated or non-consensual media of real people (deepfakes or similar);
  • reverse-engineer, decompile, scrape, overload, probe for vulnerabilities or otherwise interfere with the Service or its underlying providers;
  • use the Service for political advertising, spam, or any form of mass automated publishing in violation of a destination platform's terms;
  • submit content that contains malware or that would harm other users or third parties;
  • resell, sublicense or commercially redistribute access to the Service or generated outputs without our prior written permission.

These rules apply to everything you submit through ZClips, including source material, clips, reference photos, music uploads, and posts in our feedback/community forum (whether posted from the web app or via our Discord bot). We reserve the right to remove content and suspend accounts that violate these rules.

5. Your content

You retain all rights in the videos, audio, images, reference photos, music, recordings, captions, transcripts, metadata and other inputs and outputs you provide or generate ("Your Content"). You grant ZClips a limited, revocable, non-exclusive, worldwide, royalty-free license to host, store, transcode, transcribe, analyze, render and process Your Content solely to operate the Service for you — including transmitting it to the third-party processors listed in our Privacy Policy and, when you request it, uploading rendered clips to your linked destination accounts.

You are solely responsible for Your Content and for ensuring you hold the rights to use, transform and publish it on the destination platforms you select.

6. Source material and intellectual property

Importing a video by URL or uploading a file does not transfer any rights. You represent and warrant that you either own the source material, hold a valid license, or that your use qualifies as a fair-use / fair-dealing exception under applicable law. ZClips is a clipping tool, not a rights-clearance service, and provides no warranty that the material you import is cleared for your intended use.

If you upload music to your library, you represent that you hold the rights or a valid license to use it, and you are responsible for confirming its usage rights before publishing a clip that includes it. If you upload a reference photo (for example a face or logo) to guide AI-generated thumbnails, you represent that you own the likeness depicted or have the consent of the person it depicts, in line with the prohibition on non-consensual media in §4.

Copyright or IP infringement notices may be sent to legal@zclips.me with: a description of the work, the location of the alleged infringement, your contact information, and a good-faith statement that the use is not authorized. We will act on substantiated notices in a reasonable time.

7. Third-party integrations

ZClips relies on third-party services to function. Depending on configuration, these may include: TikTok (Login Kit, Content Posting API, Share Kit, Webhooks); YouTube / Google (source ingestion, OAuth, YouTube Data API, sign-in, auto-clip, publishing); Facebook / Meta (source ingestion, OAuth, publishing via the Meta Graph API); Twitch and Kick (source ingestion, OAuth, and/or sign-in); Discord (sign-in and our optional community bot); a speech-to-text provider; a language-model provider (segment selection); a stock footage provider (B-roll); Stripe (billing); a transactional email provider; and a hosting provider. The providers given by category are named on request — see §7 of the Privacy Policy.

We are not responsible for those services' availability, content, accuracy or terms; your use of them is subject to their own agreements. The Service may stop functioning, in whole or in part, if any provider changes its APIs, prices or policies.

YouTube API Services in particular. Importing a YouTube video, connecting a YouTube channel, auto-clip, publishing to YouTube and the YouTube figures in the analytics dashboard are all built on YouTube API Services. By using any of them you agree to be bound by the YouTube Terms of Service at https://www.youtube.com/t/terms, and you acknowledge that Google processes the resulting data under the Google Privacy Policy at https://www.google.com/policies/privacy. You can revoke ZClips' access to your YouTube data at any time, either from Settings → Connections inside ZClips (which deletes the stored tokens immediately) or from the Google security settings page at https://myaccount.google.com/connections. Deletion of the data we already stored is described in our Privacy Policy and on our Data deletion page.

8. Workspaces and personal workspace

ZClips supports shared workspaces with multiple members. By adding another person to a workspace you authorize them to view, edit, publish or delete the clips, tasks, monitored channels and other workspace-scoped data, in accordance with their role. Workspace owners are responsible for managing membership and for the conduct of members within the workspace. Removing a member revokes their access to that workspace's content but does not delete content they created.

We may warn, sanction, suspend or block a workspace that violates these Terms or applicable law; see our Privacy Policy for how moderation and audit records are kept.

Each user also has a personal workspace — a private workspace-of-one — that provides access to the same scheduled publishing pipeline independently of any shared workspace. Content in the personal workspace is visible only to that user.

9. Auto-clip and automated publishing

If you enable auto-clip on a YouTube channel, the worker periodically polls that channel for new uploads and may automatically generate clips. If you configure auto-publishing, the Service will upload clips to your destination account when they finish rendering. You remain fully responsible for all auto-generated and auto-published content, including compliance with the destination platform's terms. You can pause or disable auto-clip and auto-publish at any time from the relevant settings panel.

10. AI-generated output

AI-generated outputs — including transcripts, segment selection, captions, virality scores and any text suggestions — can be inaccurate, biased, hallucinated or otherwise unsuitable for publication. You are responsible for reviewing every clip and every caption before publishing it anywhere. ZClips makes no warranty as to the accuracy, quality or fitness for purpose of AI-generated content.

11. Subscription plans, tokens and billing

ZClips offers the following plans (prices in USD; subject to change with notice):

  • Starter — $0. A one-time welcome grant of 50 tokens when the workspace is created; it does not renew. No editor access. No auto-publishing.
  • Pro — $19.99/month, or $119.88/year billed annually (equivalent to $9.99/month). 300 tokens each month. Full editor access. Auto-publishing enabled.
  • Creator — $49.99/month, or $299.88/year billed annually (equivalent to $24.99/month). 600 tokens each month. Full editor access. Auto-publishing enabled.
  • Enterprise — quoted individually per workspace and not sold through automated checkout. Allowance and terms are agreed in writing.

Token model: 1 token is consumed per minute (or part thereof) of source video processed in fast mode; the balanced and quality processing modes consume more per minute. For example, a 10-minute video costs 10 tokens in fast mode. On paid plans tokens are granted at the start of each billing period and do not roll over: unused tokens expire at the end of the period in which they were granted. The Starter grant is made once, when the workspace is created, and is not renewed.

Token packs: Users on paid plans may purchase additional token packs as add-ons through the Service. Token packs are consumed before the monthly grant and are non-expiring until used, subject to the account remaining active. Once tokens from a pack have been consumed (i.e., applied to video processing), they are non-refundable.

Billing and payments: Payments are processed by Stripe under Stripe's terms; ZClips does not receive or store full payment card data. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled. You can cancel at any time from Settings → Billing; cancellation takes effect at the end of the current billing period, after which your account reverts to the Starter plan.

Refunds: If you have not consumed any tokens or used any paid feature in the billing period you are paying for, you may request a full refund of that period. If you have consumed part of it, we deduct the value of what was used from the price paid and refund the remainder. The value used is calculated pro rata on tokens:
amount refunded = price paid − (tokens consumed ÷ tokens granted × price paid).

For example, on a Pro month at $19.99 with 300 tokens granted, having consumed 60 tokens: 60 ÷ 300 × $19.99 = $4.00 used, and $15.99 is refunded. Tokens bought as an add-on pack are refundable only while unconsumed, since a pack is not tied to a period. Refund requests go to legal@zclips.me and are paid back through the original payment method.

EU / EEA right of withdrawal: If you are a consumer resident in the European Union or European Economic Area, you have a statutory 14-day right of withdrawal from the date of purchase. However, by purchasing a paid plan and expressly requesting that the Service begin immediately (i.e., tokens are credited to your account at the moment of purchase), you acknowledge that the Service has been fully performed and you waive any remaining right of withdrawal in accordance with Article 16(a) of Directive 2011/83/EU. This waiver does not affect your statutory rights under mandatory consumer protection laws of your home country that cannot be waived by contract.

Taxes: Prices shown are exclusive of any applicable taxes (VAT, sales tax, etc.). Where required by law, applicable taxes will be added at checkout.

Plan changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the end of the current billing period.

Free plan: The Free plan is provided without charge and without any guarantee of continued availability. We reserve the right to modify or discontinue the Free plan at any time, with reasonable advance notice where feasible.

12. No warranty

The Service is provided "as is" and "as available", without warranty of any kind, express or implied, including as to merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted operation. We do not warrant that clips will be free of defects, that the Service will meet your requirements, or that any specific result will be achieved.

13. Limitation of liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenues, data, goodwill or reputation, arising out of or in connection with your use of (or inability to use) the Service, even if advised of the possibility of such damages.

Our total cumulative liability to you for all claims relating to the Service is limited to the greater of: (a) the total fees you paid to ZClips in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred US dollars ($100 USD). This limitation applies regardless of the basis of liability (contract, tort, statute or otherwise).

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability for fraud, death or personal injury caused by negligence, or any mandatory consumer rights.

14. Indemnification

You agree to defend, indemnify and hold harmless us and our directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) Your Content; (b) your use of the Service; (c) your breach of these Terms; or (d) your violation of any law or of the rights of any third party.

15. Termination

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or if continued access creates legal, security or operational risk. Upon termination of a paid plan for breach, no refund will be issued. You may stop using the Service at any time, disconnect any linked third-party account from the Settings page, and request deletion of your account by writing to legal@zclips.me. Account deletion removes your personal data in accordance with our Privacy Policy, subject to data we are required to retain by law (e.g. billing records).

16. Cessation of the Service and insolvency

The Service is provided by ZELIKA DESARROLLOS AUDIOVISUALES, S.L.. As a Spanish limited company, it answers for its obligations with its own assets; its shareholders and directors do not answer for them personally, except in the cases the law provides.

If the company ceases trading, is wound up, or enters insolvency proceedings (concurso de acreedores) under Royal Legislative Decree 1/2020:

  • The Service may be suspended or discontinued with as much notice as the circumstances allow. Access to the Service, to source material and to generated clips may end on that date. Keep your own copies of anything you need — section 15 covers export before termination.
  • Any unused token balance, any remaining part of a prepaid subscription period and any unconsumed token pack stop being usable and become a monetary claim against the company. Those claims are settled through the insolvency proceeding, in the order of priority the law assigns them, and not by a refund from us outside it.
  • We will not process discretionary refunds outside the proceeding. Where a payment was made in the 15 days immediately before the proceeding is applied for, we will seek to return it so far as the law and the insolvency administration allow. We cannot guarantee it: payments made by a company already in that position can themselves be reversed by the court.
  • Nothing in this section removes rights that cannot be removed by contract. That includes the mandatory consumer protections of your country of residence and any chargeback right you hold against your card issuer or payment provider.

17. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. For material changes we will provide at least 30 days' advance notice to users with active paid subscriptions (by email or in-app notice). Continued use of ZClips after the effective date of a change constitutes acceptance of the revised Terms.

18. Governing law and disputes

These Terms are governed by the laws of Spain, without regard to its conflict of laws principles. Any dispute will be resolved in the competent courts of Spain. If you are a consumer resident in another EU/EEA country, this clause does not deprive you of the mandatory consumer protections of your home country. For the resolution of online disputes, EU consumers may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
